Most company secretary roles are back-office box-ticking - file the returns, take the minutes, keep the registers, repeat. This one isn't. We are a NASDAQ-listed group operating across Hong Kong, the Cayman Islands, the United States, the United Kingdom and beyond, scaling a consumer health brand at 6x growth. At that pace, governance either scales ahead of the business or becomes the thing that slows every board decision, every filing deadline, every equity issuance. For a listed company, a missed statutory deadline or a sloppy disclosure isn't an admin slip - it's a regulatory and reputational risk that compounds. We need someone who treats corporate governance as a strategic asset that protects and enables the company, not a compliance chore.
The Opportunity
We are looking for a Company Secretary, based in Hong Kong, to own end-to-end company secretarial and corporate governance across our multi-jurisdiction, NASDAQ-listed group. You will be the person the Board, Legal and Finance rely on to keep the company clean, compliant, and moving. Your mandate: make sure the company is always board-ready and regulator-ready - every meeting, every filing, every jurisdiction, on time.
What You'll Do
Board & Committee Governance
- Manage all Board and Committee meetings end to end - preparing agendas, organizing meetings, tracking action items, and drafting minutes and resolutions.
- Advise senior stakeholders on best-practice corporate governance and emerging regulatory changes.
Listed-Company Compliance
- Work closely with the Legal and Finance teams to ensure compliance with NASDAQ/SEC listing rules and other necessary regulatory reporting.
- Keep the group ahead of regulatory change, not reacting to it.
Statutory & Multi-Jurisdiction Maintenance
- Oversee statutory filings, annual returns and entity maintenance across Hong Kong, the Cayman Islands, the United States, the United Kingdom and other jurisdictions as needed.
Equity & Capital
- Support the team with managing capitalization tables, equity issuances, and equity incentive plan matters.
Legal Support
- Assist the Legal team with drafting commercial contracts, NDAs and regulatory disclosures.
What We're Looking For
Non-Negotiable
- Member of HKCGI (Hong Kong Chartered Governance Institute) or a qualified Solicitor.
- At least 8+ years of company secretarial experience, ideally gained at technology and/or consumer goods companies.
- Bachelor's degree in Law, Business Administration, Corporate Governance or a related discipline.
- Fluency in English is required.
We are looking for someone with excellent attention to detail - not vibes; in this role a missed detail is a filing risk - who can liaise credibly with senior stakeholders and the Board, and operate independently and flexibly in a fast-paced, high-growth environment. You have personally owned company secretarial work at a real company - ideally listed or listing - or a clear, specific reason why that benchmark doesn't apply to your trajectory. If you can't make that case in a sentence, this isn't your role.
Nice to Have
- Knowledge of SEC/NASDAQ compliance.
- Hands-on experience across multiple jurisdictions (Hong Kong, Cayman, US, UK).
- Exposure to a listed or recently-listed company environment.
- Proficiency in Chinese.
