🎯 Your Governance Mission: Key Responsibilities
Global Compliance Excellence
- Prepare and file annual reports and corporate compliance filings for entities within the ICON Group worldwide
- Manage and prioritize workload to meet strict filing deadlines across multiple jurisdictions
- Monitor and report on compliance status, identifying potential risks and opportunities
- Liaise with auditors, professional advisors, and government bodies to ensure regulatory adherence
Corporate Records Management
- Maintain and update Diligent Entities database and corporate records for the entire ICON Group
- Manage team inbox and respond to queries from business units regarding company records and entity details
- File and store board materials and company records with exceptional organization
- Prepare and update powers of attorney as requested by different service lines
Board Support & Documentation
- Prepare and circulate board materials and related documentation for meetings
- Support drafting and review of resolutions, contracts, and legal documents
- Arrange execution, notarization, and apostille of minutes and powers of attorney
- Ensure proper documentation management for ICON plc, our Irish-incorporated parent company listed on NASDAQ
Strategic Projects & Improvement
- Support corporate restructuring projects and ad-hoc strategic initiatives
- Engage and liaise with external advisors while managing the invoice process
- Contribute to process improvement within the Corporate Governance team
- Undertake additional duties and administrative tasks as assigned
⭐ Your Profile: Qualifications & Experience
Essential Requirements
- Qualified Company Secretary with ICSI membership (mandatory)
- Minimum 3 years' relevant experience in company secretarial or corporate governance roles
- Honors university degree preferably in legal, business, or finance
- Prior experience in a multinational organization with global entity management
Technical Competencies
- Working knowledge of Microsoft Office Applications (Excel, Word, Windows)
- Knowledge of Diligent (Blueprint) Software or similar entity management software
- Understanding of corporate compliance requirements across multiple jurisdictions
- Experience with board documentation and corporate record maintenance
